2027 Minimum Advertised Price Policy (MAP Policy)

No retailer is authorized to advertise any discounts on BAJA LLAMA products below Manufacturer's Suggested Retail Price ("MSRP") unless otherwise specified in this policy.

BAJA LLAMA has invested significant effort and resources to create premium lifestyle apparel products and build a strong brand recognized for quality, originality, and adventure. To maintain the reputation and goodwill of BAJA LLAMA and its products, BAJA LLAMA has determined that this Minimum Advertised Price Policy (MAP) is necessary.

It is critical that we protect retailer margins and support the long-term success of our wholesale partners. Sales of BAJA LLAMA products outside the guidelines established in this policy may negatively impact the reputation of the brand and the value of our retail network.

The Minimum Advertised Price Policy is as follows:

Retailers must not advertise BAJA LLAMA products below MSRP, except as permitted:

• A retailer may promote or discount BAJA LLAMA products during the Thanksgiving / Black Friday / Cyber Monday promotional period of 11/18 - 11/24. Discounts cannot exceed 30% off MSRP during this period. Prices must be returned to MSRP immediately following the promotional period.

• A retailer may promote or discount BAJA LLAMA products during the Father's Day promotional period beginning fourteen (14) days before Father's Day and ending on Father's Day. Discounts cannot exceed 30% off MSRP during this period.

• Retailers may discount BAJA LLAMA Spring / Summer collections beginning July 15 of the applicable selling year. Retailers may discount BAJA LLAMA Fall / Winter collections beginning February 15 of the following year.

• Discontinued products may be sold year-round provided they are clearly marked as closeouts or clearance merchandise and are listed separately from current products on websites and sales materials.

BAJA LLAMA will monitor compliance with this Policy, including:

• Sales of in-season products at discounts

• Sales of current products through unauthorized channels

• Advertising of products below MSRP outside of approved promotional periods

Retailer Violations

Marketplace Policy

No retailer may sell or promote BAJA LLAMA products on Amazon Marketplace, Walmart Marketplace, eBay, or any other third-party marketplace without prior written approval from BAJA LLAMA.

Any such sales will be considered a violation of this policy and may be subject to the penalties listed above.

Retailers may not advertise products online that are not maintained in adequate inventory levels by the retailer.

BAJA LLAMA employees and sales representatives are not authorized to discuss another retailer's sales activities or the application of this policy. Questions or comments regarding this policy should be directed exclusively to BAJA LLAMA Wholesale Management.

This policy is subject to change by BAJA LLAMA from time to time.
